MEETING WAIVER

The undersigned hereby states that notice of a meeting of the Board of Directors of Exetor Company¹ was provided to me on the 15th day of February 2006², for a meeting which was to occur on the 1st day of April 2006³, and I hereby waive formal notice of said meeting and hereby authorize the corporation's Board of Directors to act on my behalf in my absence.
