What is a Property Exchange?

Sometimes, a form of property (either real estate or personal property) with an ascertainable value (determined as a result of a form of appraisal) may be exchanged for stock on a "quid pro quo" basis.  In other words, any stock issued must be for the sum value of property received.  Naturally, the most common exchange for stock is a monetary exchange  in the form of cash or check.  Property exchanges are strictly regulated by various provisions of the Internal Revenue Code, as well as other laws;  therefore, a great deal of caution must be exercised for such exchanges.  As always, it is important to consult an attorney who is familiar with both corporation law and general tax law in order for an exchange of property for stock to be in full compliance with applicable laws.
