Activities by a corporation prior to filing the articles of incorporation are prohibited since they are of no force or effect.  The company, or individuals on behalf of the company, may not transact business until the articles of incorporation have been filed with the secretary of state and until the organizational meeting has been conducted for the purpose of formalizing the corporate activities.
